Terms of Service & Conditions of Sale

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Customer," "you"), and Exact Part Supply ("Company," "we," "our," or "us"), concerning your access to and use of our catalog, website, commercial ordering channels, and physical fulfillment services.

2. Catalog Accuracy, Identifiers & Pricing

Exact Part Supply organizes products around canonical Manufacturer Part Numbers (MPNs), OEM cross-references, and supplier inventory feeds.

• Part Identification: While we utilize strict algorithmic verification and manufacturer data plates, the Customer is ultimately responsible for verifying that the selected MPN matches the specific serial number, voltage, and equipment revision of their machine.
• Pricing Errors: In the event that a part or heavy equipment attachment is listed at an incorrect price due to photographic, typographical, or supplier synchronization error, Exact Part Supply reserves the right to refuse or cancel any orders placed for items listed at the incorrect price prior to carrier dispatch.
• Offer Availability: Listed inventory levels and multi-vendor offer ranges represent real-time supplier feeds. Items may be subject to backorder or manufacturer lead times.

3. Industrial Equipment Usage & Certified Installation Disclaimer

The Customer acknowledges and agrees that:

1. All electrical and gas components must be installed by a licensed, certified technician (e.g., RVIA/RVDA certified RV technician, master electrician, or authorized equipment mechanic).
2. Improper installation, calibration, or unauthorized modification of OEM parts voids all manufacturer warranties and creates severe risks of equipment failure, personal injury, or property damage.
3. Exact Part Supply assumes no liability for damages, injuries, or downtime arising from amateur, non-certified, or improper installation.

4. Order Acceptance, Commercial RFQ & Net-30 Terms

Order Acknowledgment vs. Acceptance: Receipt of an automated order confirmation email does not signify our acceptance of your order. Exact Part Supply reserves the right at any time after receipt of your order to accept or decline your order for any legitimate commercial reason (e.g., unverifiable delivery address, stock depletion, or carrier embargoes).

Request for Quote (RFQ) Terms: Price quotations issued via our RFQ system are valid for 14 calendar days from the date of issuance unless explicitly stated otherwise in the written quote. Custom freight allocations, liftgate fees, and multi-hub fulfillment logistics are locked upon formal PO execution.

Commercial Net-30 Accounts: For approved enterprise, municipal, and commercial fleet buyers with established Net-30 credit terms:

• Invoices are due in full 30 days from the date of invoice.
• Past-due balances are subject to a late charge of 1.5% per month (18% per annum) or the maximum permitted by applicable state law.
• Exact Part Supply reserves the right to suspend shipments on accounts with outstanding balances exceeding approved credit limits.

5. Manufacturer Pass-Through Warranties

Exact Part Supply is an authorized distributor and procurement partner for OEM manufacturers. We pass through all original manufacturer warranties directly to the purchaser:

Disclaimer of Implied Warranties: EXCEPT AS EXPRESSLY PROVIDED BY THE ORIGINAL MANUFACTURER, EXACT PART SUPPLY PROVIDES ALL CATALOG DATA, PRODUCT DESCRIPTIONS, AND PRODUCTS "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXACT PART SUPPLY, ITS DIRECTORS, OFFICERS, EMPLOYEES, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF USE, LOSS OF PRODUCTION, MACHINE DOWNTIME, COMMERCIAL LOSS, OR LOST BUSINESS PROFITS;
• LABOR CHARGES, SERVICE CALL FEES, OR REMOVAL/REINSTALLATION EXPENSES INCURRED BY THE CUSTOMER.

OUR MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY PRODUCT SOLD OR ANY CLAIM RELATED TO THESE TERMS SHALL BE STRICTLY LIMITED TO THE ACTUAL PURCHASE PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC PART GIVING RISE TO THE CLAIM.

7. Freight Delivery & Damaged Shipments

Risk of loss and title for all merchandise pass to the Customer upon delivery to the carrier (F.O.B. Shipping Point). The Customer is strictly required to inspect all parcel and LTL freight shipments upon arrival before signing the Bill of Lading (BOL). 8. Governing Law & Dispute Resolution

These Terms of Service and any dispute arising from your purchase shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Binding Arbitration: Any controversy or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding commercial arbitration administered by the American Arbitration Association (AAA) in Cleveland, Ohio, rather than in court.

Waiver of Class Actions: You agree that any arbitration or proceeding shall be conducted solely on an individual basis and not in a class, consolidated, or representative action.

9. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. These Terms, together with our Privacy Policy, Shipping Policy, and Return Policy, constitute the entire agreement between the parties.
